1. Introduction and Acceptance
Welcome to Bloom Discovery LLC ("we," "our," or "us"). By accessing our dashboard, utilizing our Discord Bot, or participating in our campaigns, you agree to be bound by these Terms and Conditions. Bloom Discovery LLC is not affiliated with, endorsed by, or sponsored by Discord Inc.
2. Account Registration and Discord Integration
To use our platform, you may be required to log in using your Discord account. You agree to provide accurate and complete information and authorize us to access specific data from your Discord profile as outlined in our Privacy Policy. You are responsible for all activity under your account.
3. Creator Content Submissions and Intellectual Property
As a Creator, you will submit content (text, images, video, etc.) for marketing campaigns.
- Ownership: You retain ownership of your original content, but by submitting it to Bloom Discovery LLC, you grant us a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display the content in connection with the specific marketing campaign.
- Originality: You warrant that all submitted content is your original work, does not infringe on any third-party intellectual property rights, and complies with all applicable FTC endorsement guidelines (e.g., proper "#ad" or "#sponsored" disclosures) and any equivalent advertising standards in your local jurisdiction.
4. Payments, Payouts, and Taxes
We provide a platform to compensate creators for approved content globally.
- Independent Contractors: Creators are independent contractors, not employees, partners, or agents of Bloom Discovery LLC.
- Taxes and Documentation: You are solely responsible for your own local, state, federal, or international taxes. Depending on your location, we may require you to submit appropriate tax documentation prior to payout (e.g., a W-9 form for US-based creators, or a W-8BEN form for international creators).
- Payment Processing and Currency: Payouts are facilitated through third-party payment processors (e.g., Stripe, PayPal, Tremendous). All campaign payouts are calculated in US Dollars (USD). If you reside outside the US, your payout may be subject to currency conversion rates and international processing fees assessed by the payment processor or your bank. Bloom Discovery LLC is not responsible for these fees or for fluctuations in exchange rates.
- Sanctions Compliance: By using our platform, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties (e.g., the OFAC Specially Designated Nationals List).
- Payout Terms: Payouts are issued based on the terms of the specific campaign. We reserve the right to withhold payment for content that violates our terms, is generated by bots/fraudulent means, or is rejected by the campaign sponsor.
5. Acceptable Use and Prohibited Conduct
You agree not to:
- Submit content that is illegal, offensive, defamatory, or violates the rights of others.
- Use bots, scripts, or fraudulent methods to artificially inflate campaign metrics (views, clicks, etc.).
- Attempt to reverse-engineer or manipulate our Discord Bot or dashboard.
6. Limitation of Liability and Indemnification
You agree to indemnify and hold harmless Bloom Discovery LLC from any claims, damages, or legal fees arising from your submitted content, your violation of these Terms, or your failure to comply with local or international endorsement guidelines. In no event shall we be liable for any indirect or consequential damages arising from your use of the platform.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
8. Termination
We reserve the right to suspend or terminate your access to the platform and our Discord Bot at any time, without notice, for conduct that we believe violates these Terms or is harmful to our users, us, or third parties.
By using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
